YOUR USE OF THIS WEB SITE CONSTITUTES YOUR AGREEMENT TO BE BOUND BY THESE TERMS AND CONDITIONS OF USE.

This Web site, including all of its features and content (the “Web Site”) is a service made available by Better Buys for Business (“Better Buys”), a division of Progressive Business Publications (“Provider”) and all content, information, and services provided on or through this Web Site (“Content”) may be used solely under the following terms and conditions (“Terms of Use”).

NUMBER OF PERSONS LICENSED: Unless otherwise agreed by written contract with Better Buys , all licenses to Better Buys iGuide are granted on a “per person and per terminal basis.” This means that a one-user license authorizes only one person to use the iGuide subscription of his or her choice. A one-user license is not assignable or transferable. This means the holder of a one-user license may not share or transfer the license to another individual or group. Those seeking multiple-user discounts should contact Better Buys directly.

TERM AND TERMINATION
Term: iGuide services will commence on an agreed-upon date and will be provided free of charge for a period of three days. If you do not cancel during the initial three-day free period, the Initial Term will become the 90-day period commencing on the date on which the free three-day period began. If you do not cancel within the initial three-day period, your subscription will continue according to one of the following two options. You must choose one of these options before you can begin your three-day free trial period:

OPTION A: AUTOMATIC RENEWAL: If you choose the automatic renewal option at the start of the three-day free trial period and you do not cancel during the three-day free trial period, your credit card will be billed for the Initial Term and your subscription will automatically renew for a term equal in length to the Initial Term ("Renewal Term") unless you notify Better Buys prior to the conclusion of the Initial Term or then-current Renewal Term that you do not want to renew your subscription to the iGuide service. You can notify us that you do not want to renew by calling the toll-free number below and speaking to a service representative. Cancellations are not final until you receive a cancellation confirmation e-mail from Better Buys. By choosing this option, you agree that you will not receive a bill in the mail for your subscription, and you authorize Better Buys to bill your credit card for Renewal Terms if you do not cancel your subscription before it renews.

IF YOU CHOOSE THE AUTOMATIC RENEWAL OPTION (OPTION A) AND DO NOT CANCEL YOUR SUBSCRIPTION WITHIN THE THREE-DAY FREE TRIAL PERIOD, YOUR CREDIT CARD WILL BE CHARGED $79 AND YOUR SUBSCRIPTION WILL RENEW AUTOMATICALLY, UNLESS WE TERMINATE IT OR YOU NOTIFY US BY TELEPHONE OF YOUR DECISION TO TERMINATE YOUR SUBSCRIPTION. THE SUBSCRIPTION WILL CONTINUE TO RENEW FOR SUCCESSIVE 90-DAY PERIODS UNLESS YOU CANCEL. Cancellations are not final until you receive a cancellation confirmation e-mail from Better Buys. If you do not cancel your subscription by telephone before the scheduled renewal date, you will be billed for subscription fees for the Renewal Term.

OPTION B: “BILL ME LATER” : If you choose the “bill me later” option at the start of the three-day free trial period and you do not cancel during the three-day free period, we will mail you a bill in the amount of $79 for the 90-day period commencing on the date on which the three-day free trial period began. By failing to cancel within the initial three-day free trial period, you agree to accept a 90-day subscription at the rate of $79.

If any amount due under the terms of this agreement becomes past due, we will initiate collection efforts that may include referral of your account to a collection agency to recover the debt. If any unpaid and overdue charges are referred to a collection agency, you agree to pay any collection fees that arise from the referral in addition to any amount that is already due on the account. You further agree to pay any attorneys' fees and other costs we reasonably incur in attempting to collect the debt.

Reinstatement after Termination: If you desire to resume iGuide services that previously expired or terminated, you must first pay applicable plan fees for the applicable renewal period.

Refund Policy: Plan memberships are non-refundable during the first term of service. If you choose to terminate service during any Renewal Term, you may be eligible for a partial refund. Any partial refund will apply only with respect to unused periods of service beyond the initial service period.

DISCLAIMER
All material on Better Buys Web site is provided “as is.” Better Buys makes no warranties, express or implied, and expressly disclaims and negates all warranties including, without limitation, implied warranties or conditions of merchantability, fitness for a particular purpose, or non-infringement of intellectual property or rights. Further, Better Buys does not warrant or make any representation concerning the accuracy or reliability of the material contained herein or otherwise relating to such material or any material on any sites linked to the Better Buys Web Site.

Better Buys does not warrant that the iGuide Web Site will operate error-free or that the iGuide Web Site and its server are free of computer viruses or other harmful components. If your use of the iGuide Web Site and the material results in the need for servicing or replacing equipment or data, Better Buys is not responsible for these costs.

LINKS TO OTHER SITES
The Web Site may contain links to other World Wide Web sites, resources, and advertisers of the Web Site. Better Buys does not maintain or control these links and does not endorse any third-party site or content. Better Buys is not responsible for the contents or availability of these third-party sites. If you choose to link to such a site, you do so at your own risk.

LIMITATION OF LIABILITY
In no event will Better Buys be liable for any damages (including, without limitation, damages for loss of data or profit, or due to business interruption) arising out of the use of or inability to use the material on the site, even if Better Buys or an authorized representative has been notified orally or in writing of the possibility of such damage.

INDEMNIFICATION
You agree to agree to indemnify and hold Better Buys, its affiliates, officers, directors, employees and agents harmless from any claim, demand or damage, including reasonable legal and accounting fees, asserted or resulting from your use of the material or your breach of these terms of use.

COPYRIGHT LAW
In addition to any contractual obligations under this license, regular copyright law applies to all copyrighted materials within these services and no right to distribute any copies to any third party is granted. This means that authorized users can not print, save, transmit or distribute copies for or to any third party in any format.

CONTROLLING LANGUAGE
The controlling language of this document is English.

MODIFICATION OF TERMS
Better Buys reserves the right to change the terms and conditions under which iGuide Services are offered. The changes will appear in this document. You are responsible for regularly reviewing these terms and conditions. Your continued use of Better Buys services constitutes your agreement to all such changed terms and conditions.

CHOICE OF LAW
You agree that these Terms of Use will be governed by the laws of the Commonwealth of Pennsylvania, excluding its conflicts of laws provisions. You also agree that any dispute arising out of or relating to these Terms of Use or your use of the Web Site, whether based in contract, tort, statutory or other law, will be governed by the laws of the Commonwealth of Pennsylvania, excluding its conflicts of law provisions. You consent to the jurisdiction of any state or federal court located within the Commonwealth of Pennsylvania to resolve any claim arising from your use of this site, and you further agree to waive any argument that any such court does not have jurisdiction over such dispute. You also agree to accept service of process by certified mail, return receipt requested at the address designated by you. You agree to pay Better Buys any court costs and reasonable attorneys' fees and expenses it incurs in successfully proving a breach of any of these Terms of Use.

ACCEPTANCE OF TERMS
By accessing the materials herein you are confirming your acceptance of all these terms and conditions. If you do not accept these terms and conditions you will not be granted access to any iGuide services.
